Terms & Conditions as Professional Service User



1.                GENERAL

1.1            In addition to the General Terms and Conditions – all Merchant shall register on our platform to provide professional services, submit quotations, and perform various tasks related to proposed interior design, renovation or building works (“Proposed Works”). By registering as a Merchant, you agree to adhere to the following terms and conditions, which supplement those outlined in the General Terms and Conditions. These terms and conditions shall apply regardless of whether they are reiterated in General Terms and Conditions.

1.2            Yes Project reserves our right and maintain the authority:

a.      to limit, suspend or terminate access to the Platform, whether partially or entirely, upon issuance of two (2) written warnings by Yes Project due to various reasons, including but not limited to: unfavourable feedback and/or negative complaint from property owners; use of abusive or vulgar language, whether expressed verbally or in written form, towards any party within our Platform; Merchant’s account become inactive for more than 12 months; unlocked task remains uncontacted for three working days; any outstanding amount due to Yes Project; and/or other reasons Yes Project deemed valid.

b.      to utilize any information, documents and/or materials uploaded by Merchant for marketing, advertising, and other commercial purposes as Yes Project deem required.

c.      at our sole discretion, to edit, delete, or remove any uploaded and/or posted information, documents and/or materials as Yes Project deemed necessary to ensure compliance of our marketing guidelines.

d.      to revise, reduce or increase subscription package pricing without prior notice to the Merchant.

e.      to revise this Merchant Terms and Conditions at any time without prior notice to you. In the event of any revision(s) made to this Merchant Terms and Conditions, the revised Merchant Terms and Conditions will be posted on this Platform and shall be effective immediately. Please check this Merchant Terms and Conditions regularly as your access to this Platform pursuant to the revised Merchant Terms and Conditions being posted on this Platform shall constitute your consent to such revised Merchant Terms and Conditions.

2.                MERCHANT’S OBLIGATION AND UNDERTAKING

2.1            All Merchants shall be legally registered and incorporated as an entity in accordance with Malaysian laws. You shall, at your own cost, be responsible in obtaining all necessary licenses, insurances, financial resources, manpower, skills, equipment, and safety apparel required by relevant authorities for the execution of Proposed Works in accordance with applicable laws, by-laws, regulations, and industry standards.

2.2            In your capacity as a Merchant, you undertake to furnish any required information essential for the verification of the legality, legitimacy, and lawful establishment of your corporation, including but not limited to your business entity, company operations, products, goods, services, and any other pertinent details related to Proposed Works.

2.3            As a Merchant, you undertake that you possess the requisite knowledge and expertise pertaining to the Proposed Works, encompassing products, services, and pertinent technical details. In the event that any of the information, documents, or materials you provide is determined to be inaccurate or inadequate, it is your sole responsibility to expeditiously rectify or supplement such information to guarantee precise representations of the Proposed Works.

2.4            Merchants are strictly prohibited from participating in the following activities, which are including but not limited to:

a.      Registering for products, goods, or services that are not offered or served;

b.      Providing inaccurate information regarding the locations where products or services are available;

c.      Misrepresenting the details and quality of the offered goods and/or services;

d.      Advertising unrelated categories or prohibited products or services;

e.      Incorporating third-party brand names or inappropriate keywords in the Merchant’s listing, posting or account;

f.       Including fraudulent or erroneous information in the Merchant’s listing, posting or account;

g.     Engaging in fraudulent conduct related to promotions or partnerships;

h.      Unauthorized sharing or utilization of any materials, including information, publications, documents, or articles, obtained or provided in connection with the Proposed Works, except as required by law or authorized by the owner of such material.

2.5            All Merchant shall fully defend and indemnify us against all claims, costs, damages, charges, demands and proceedings arising from any infringement or breach of the terms contained herein, including those in the General Terms and Conditions, related to Merchant capacity, as well as any pertinent terms.

3.                SUBSCRIPTION PACKAGES

3.1            We offer three (3) types of subscription packages to the Merchant, namely Silver, Gold and Platinum. These subscriptions provide credits to the Merchant to unlock any tasks offered in the Platform, on first come first serve basis.

3.2            All Merchant shall (i) register themselves as a Merchant on our Platform by signing up and providing the necessary information and documents required by the Platform; (ii) select the relevant subscription package and make payment to us accordingly; and (iii) a Merchant’s Account will be delegated and the subscribed credits will be reflected in the Merchant’s Account within one (1) working day.

3.3            All subscription packages:

a.      sold are non-refundable unless otherwise specified.

b.      are considered active and will be valid for a period of 12 months from the date of subscription.

c.      with unutilized credit may, at our sole discretion, be allowed to be carried forward to the following 12 months term, provided that the expired subscription has been successfully renewed by the Merchant by paying the subscription fee and the Merchant undertake to adhere to all the terms and conditions on the Platform.

3.4            The subscribed credits shall be used by the Merchant to unlock any tasks available, on first come first serve basis, on the Platform in order to purchase the potential customer’s contact details and other relevant information for the Proposed Works. These are the steps to utilise the subscribed credits by the Merchant:

Step 1: Browse the tasks available on the Platform to look for a suitable potential customer based on Proposed Works requirements submitted by the potential customer.

Step 2: unlock the task by utilizing the subscribed credits to access the potential customer contact and other relevant details.

Step 3: After unlocking the task and obtaining the potential customer’s details, Merchant shall contact the potential customer to discuss the Proposed Works requirements and provide a quotation to the potential customer.

4.                PAYMENT TERMS

4.1            All amounts invoiced to the Merchant by us shall be paid in accordance with the payment terms specified in the invoice on timely basis.

4.2            Any deposits paid are non-refundable and non-transferable. In any cases where the deposit has been paid but the remaining balance becomes overdue, the deposited amount will be forfeited within 14 days after a written warning has been served.

5.                REFUND POLICY

5.1            Unless expressly stated otherwise, all subscription packages, subscribed credits, and other promotions offers provided by Yes Project are considered non-cash refundable, non-transferable and non-exchangeable.

5.2            In the event a refund is requested, we will, at our sole discretion, evaluate each request on an individual basis to determine its feasibility.

5.3            Yes Project reserves the right, at our sole discretion, to provide discounts or other forms of accommodations in specific situations. It is important to acknowledge that each situation is distinct, and we are under no obligation to extend the same considerations to other parties.

5.4            Credit refund may be requested if any of the following conditions are met:

a.      The potential customer has not responded to any communication attempts for more than 5 working days;

b.      The potential customer has already engaged another Merchant upon initial contact;

c.      The potential customer has withdrawn or delisted the Proposed Works request completely from the Platform upon initial contact; or

d.      Any other conditions that Yes Project deem necessary.

5.5            Credit refund requests shall be made within 14 days upon unlocking the task. Initial contact with the potential customer shall be made within 3 days of unlocking and all legitimate communication evidence with the potential customer, such as conversation screenshots, quotation provided and other required documents are mandatory to be provided to Yes Project for verification and evaluation of the refund request.

5.6            Once the credit refund request together with all required documents are submitted, Yes Project team will review, verify, evaluate the said request and notify the Merchant of the entitlement of the credit refund request within 3-5 working days. Once the credit refund request has been approved by Yes Project, the refunded credits will be reflected and shown in the Merchant’s account within 24 hours.

5.7            Credit refunds shall not be accepted for situations including but not limited to failure to agree on suitable meeting times with the potential customer; potential customer’s engagement of another professional or Merchant after the initial contact; potential customer’s decision not to engage the Merchant on the potential customer’s own discretion and freewill; change of mind by the potential customer; Proposed Works requirements changed by the potential customer and the particular Merchant can no  longer meet the same; and/or other situations that may occur from time to time that Yes Project deem valid.

6.                MONEY BACK GUARANTEE

6.1            With our commitment in offering trustworthy potential customer to the Merchant, we are introducing our Money Back Guarantee for Gold subscription package and Platinum subscription package in which the Guarantee period shall be valid for 6 months from the date of subscription of the package. After the expiry of 6-month period, Yes Project will not consider any refund requests under any circumstances.

6.2            Money Back Guarantee for Gold subscription package and Platinum subscription package shall be limited to a refund of 40% of the subscription price paid by the Merchant.

6.3            To be eligible for a refund of Yes Project credits for cash during the Guarantee period, the following conditions shall be fulfilled:

a.      The Merchant must have initiated a minimum of thirty (30) tasks on our Platform without achieving successful closures. Please note that tasks obtained for free are not eligible in this scenario;

b.      The Merchant is obligated to furnish Yes Project with evidence demonstrating genuine interactions with the thirty (30) potential customers who were not successfully closed. This evidence should include conversation screenshots, any provided quotations, and any other pertinent documents as requested; and

c.      The Merchant shall be required to have a minimum of three (3) projects listed on their Account within our Platform when initiating contact with the 30 potential customers.

6.4            Upon meeting the criteria outlined in Clause 6.2 herein, the Merchant is eligible to submit a written refund request. Yes Project will subsequently assess the request for validity and proceed with the refund procedure if deemed appropriate. Failure to satisfy all stipulated criteria could lead to the dismissal of the refund request.
